Goodbash Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Goodbash platform (“Goodbash,” “we,” “our,” or “us”), including any websites, applications, and services provided by Goodbash.

By accessing or using Goodbash, you agree to be bound by these Terms.

1. The Goodbash Platform

Goodbash is an online marketplace that connects individuals and organizations seeking to plan events (“Customers”) with independent service providers (“Vendors”) who offer event-related services.

Goodbash does not provide event services and is not a party to any agreement between Customers and Vendors. Vendors are solely responsible for the services they provide.

2. Eligibility

You must be at least 18 years old and legally capable of entering into contracts to use Goodbash.

3. Accounts

You are responsible for maintaining the accuracy and security of your account credentials. You agree not to share your account or allow unauthorized access.

4. Marketplace Transactions

4.1 Customer–Vendor Relationship

When a Customer books services through Goodbash, the resulting contract is solely between the Customer and the Vendor.

4.2 Vendor Responsibilities

Vendors are responsible for:

  • Service delivery

  • Pricing

  • Compliance with applicable laws

  • Taxes, licenses, and permits

5. Payments

Payments are governed by the Goodbash Payments Policy, which forms part of these Terms.

By using Goodbash, you authorize Goodbash to:

  • Facilitate payment processing on behalf of Vendors;

  • Authorize and capture payments based on service confirmation or milestones.

Goodbash does not guarantee pricing, availability, or performance of Vendor services.

6. Fees

Goodbash may charge processing or service fees, disclosed prior to checkout. Processing fees are non-refundable except where required by law.

7. Cancellations & Refunds

Cancellations and refunds are subject to:

  • Vendor cancellation policies;

  • Applicable consumer protection laws.

Goodbash may assist with refund processing but does not guarantee refunds beyond legal requirements.

8. Disputes

Customers and Vendors should first attempt to resolve disputes directly. Goodbash will assist at its discretion but is not obligated to resolve disputes without due evidence and proof.

9. Intellectual Property

All platform content, excluding Vendor content, is owned by Goodbash and protected by applicable intellectual property laws.

10. Prohibited Conduct

You agree not to:

  • Misuse the platform;

  • Provide false information;

  • Circumvent fees;

  • Engage in fraudulent or unlawful conduct.

11. Suspension & Termination

Goodbash may suspend or terminate access for violations of these Terms, suspected fraud, or legal compliance reasons.

12. Disclaimer of Warranties

Goodbash is provided “as is” and “as available.” We disclaim all warranties except where prohibited by law.

13. Limitation of Liability

To the maximum extent permitted by law:

  • Goodbash is not liable for Vendor services;

  • Goodbash is not liable for indirect, incidental, or consequential damages;

  • Goodbash’s total liability is limited to fees paid to Goodbash for the transaction giving rise to the claim.

Nothing in these Terms limits liability for gross negligence, willful misconduct, or non-waivable statutory rights.

14. Indemnification

You agree to indemnify Goodbash from claims arising from your use of the platform or violation of these Terms.

15. Governing Law

These Terms are governed by the laws of Canada, without regard to conflict of law principles.

16. Changes to Terms

We may update these Terms from time to time. Continued use constitutes acceptance of the updated Terms.
